REFERENCES TO ANY THIRD-PARTY ENTITY ARE NOT MEANT TO IMPLY AN ENDORSEMENT OF THIS CONTEST OR ANY ENTITY AFFILIATED WITH SPONSOR(S).

SPONSOR.   The good2grow Mystery Flavor Sweepstakes (the “Sweepstakes”) is sponsored by good2grow, LLC., 2859 Paces Ferry Road SE, Suite 2100, Atlanta, GA 30339 (the “Sponsor”).

ELIGIBILITY.  Sweepstakes participation is open only to eligible legal residents United States and the District of Columbia (except where prohibited or restricted by law), who are 18 years of age or older at the time of entry.  The following individuals are not eligible: Employees, contractors, directors and officers of Sponsor and each of its respective parent, affiliates, subsidiaries and web-design, advertising and promotion agencies, fulfillment, judging or other agency involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Parties”), and the immediate family members (parent, spouse, sibling, child, and their respective spouses or “step” of each, regardless of where they reside) and those living in their same households whether or not related.  Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who, within the past six (6) months, performed services for Sponsor, Agency or any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes or supplying the prize, and/or their respective parent, affiliates, subsidiaries, and successor companies, and immediate family and household members of such individuals, are not eligible to enter or win.  “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses.  “Household members” shall mean people who share the same residence at least three months a year.

This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with the social media platforms where content may be posted or shared (Facebook, Instagram, Twitter, etc., collectively “Social Media Platforms”).

SWEEPSTAKES ENTRY PERIOD.  The Sweepstakes begins 12:01:01 a.m. Eastern Standard Time (“EST”) on June 1, 2020 and ends 11:59:59 p.m. EST on November 1, 2020 (the “Entry Period”).  All entries become the property of Sponsor and will not be acknowledged or returned.

HOW TO ENTER.  During the Sweepstakes period there are two (2) ways to enter: 

(1) good2grow Collectors App Pincode Submission (“Pincode”): Purchase participating good2grow product at any retail store nationally during the Entry Period.  Locate a pincode on the hangtag on specially marked bottles of good2grow mystery flavor participating products. Then download the good2grow Collectors App (“Collectors App”) on a compatible smartphone or other mobile device and/or open the app.  Create an account and then follow the instructions on screen to complete your account set up or log into your existing account.  If there is more than one (1) child accounts, select which child account to assign the pincode and then click on the Mystery Flavor Sweepstakes link to access the official Sweepstakes registration form. Enter the pincode found on the good2grow hangtag and complete the online form (name, email and DOB) and submit to receive one (1) entry in the Grand Prize and Weekly Sweepstakes drawings. Each validated pincode is good for one (1) Sweepstakes Entry.  There is a limit of five (5) Sweepstakes Entries per day, per Collectors App account holder, across all child accounts.  All fields must be completed to earn an Entry (“Entry”) into the sweepstakes. Incomplete submissions are void.  

(2) Mail-in Alternative Method of Entry Submission (“AMOE”):  To receive a Sweepstakes Entry without making a purchase, or entering through the Collector’s App, hand-print your name, phone number (including area code), date of birth, email address and zip code and mail in an envelope with proper first class postage affixed and the outside label must read “good2grow Mystery Flavor Sweepstakes Registration”.   Printed address labels are considered mechanical entries and are therefore not accepted. Mass-produced entries are not accepted. Entries are to be mailed to:  good2grow Mystery Flavor Sweepstakes, Attn: Registration Entry, PO Box 280267, Nashville, TN 37228.  All AMOE entries must be postmarked by November 1, 2020 and received by November  9, 2020.

There is no cost for downloading the Collectors App (which is available for free download through the application store on your mobile device). Participants must have a mobile phone with text messaging and web browsing capabilities, as may be applicable, to enter and may incur data charges from their wireless service provider, Check with your wireless service provider for details on these and other applicable charges.  Participants are solely responsible for any such wireless charges.  Not all wireless carriers participate.  All Collectors APP entries must be received by 11:59:59 p.m. EST on November 1, 2020.  

[GM1] Pincode Entries and/or AMOE Entries received by any person or email address in excess of the stated limitation, or which are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost or misdirect will be void. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and will be disqualified.  Subsequent attempts made by the same individual to submit multiple entries by using multiple or false contact information or otherwise may be disqualified.   There is a limit of one (1) Sweepstakes Grand Prize and twenty-two (22) Weekly Prizes per person throughout the Sweepstakes.  

Each “day” starts at 12:00:01 AM ET and ends at 11:59:59 PM ET on each calendar day during the Entry Period. By participating in the Sweepstakes, entrant agrees that Sponsor shall have the right to use all personal information provided to Sponsor in accordance with the General Provisions in Section 5, below. At the time of entry, entrants might be given the opportunity to opt-in to receive further communications from Sponsor.  Entrants are not required to opt-in and opting in will not improve your odds of winning. 

GRAND PRIZE DRAWING & WINNER NOTIFICATION: Potential Grand Prize winner will be chosen in a random drawing from all eligible entries received on or before November 10, 2020.  Winners will be drawn by an independent judging organization whose decision with respect to the selection of the winner and the interpretation of these rules and regulations will be final.  Winner will be notified by email.  Winner will be required to sign and return an Affidavit of Eligibility, Release and Indemnification and a Publicity Release (where allowed by law) within three (3) business days.  If potential winner does not reply to such notification within three (3) business days, an email notification is undeliverable after up to three (3) attempts and/or the Affidavit of Eligibility, Release and Indemnification and Publicity Release is not returned to Sponsor within specified time period, winner will be disqualified and an alternate winner will be selected at Sponsor’s sole and absolute discretion.  Personally identifiable information received will be used only to verify eligibility and award prizes.  Odds of winning depend on the number of eligible entries received. 

In the event of dispute concerning the identity of an entrant, the Entry will be deemed submitted by the natural person who is the authorized holder of the email account.  Sponsor and its agencies are not responsible for notifications that are misdirected because of email addresses that are no longer correct, or for any other reason beyond the control of the Sponsor.  Return of any prize notification as “undeliverable” will result in disqualification.  If for any reason any prize is not claimed or a winner is disqualified, the prize will be forfeited, and an alternate winner will be selected from among all eligible entries received during the Entry Period.

WEEKLY DRAWING & WINNER NOTIFICATION:   One hundred and fifty-four (154) Weekly Prizes will be awarded over twenty-two weekly periods (each week an “Entry Period”) as specified below. Each Entry Period is understood to begin at 12:00 a.m. ET on the first day of the applicable Entry Period and end at 11:59 p.m. ET on the last day of the applicable Entry Period. Odds of winning an Entry Period prize depend on the number of eligible entries received for each Entry Period. Winners will be selected and notified on a weekly basis with the first drawing on June 15, 2020 and each week thereafter according to the following schedule of drawing dates and Prizes awarded per week. Winners will be randomly selected under the discretion of an independent third-party company. Winners will be contacted via email.

GRAND PRIZE (1):  There will be one (1) Grand Prize (“Grand Prize”) awarded. Grand Prize winner (“Winner”) will receive two hundred eight (208) Fandango Promotional Codes (“Code”) via e-mail valid towards the purchase of two hundred eight (208) movie tickets (each up to $15 total ticket and convenience fee value) to see any movie at Fandango partner theaters in the U.S. Each Code is void if not redeemed by 05/31/2021. Only valid for purchase of a movie ticket made at www.fandango.com or via the Fandango app and cannot be redeemed directly at any theater box office. If lost or stolen, cannot be replaced. No cash value, except as required by law. Not valid with any other offer. One-time use only. Not for resale; void if sold or exchanged. If cost of one movie ticket with Fandango’s convenience fee included is more than the maximum value of a Code, then user must pay the difference. Any price difference between movie ticket purchased and maximum value of a Code will not be refunded. Approximate Retail Value (“ARV”) of each Code is $15 and the Total ARV of Grand Prize is a maximum of: $3,120 USD

WEEKLY PRIZES (154): Each Weekly winner will receive a Code via e-mail valid towards one movie ticket (up to $15 total ticket and convenience fee value) to see any movie at Fandango partner theaters in the U.S. Code is void if not redeemed by 05/31/2021. Only valid for purchase of a movie ticket made at www.fandango.com or via the Fandango app and cannot be redeemed directly at any theater box office. If lost or stolen, cannot be replaced. No cash value, except as required by law. Not valid with any other offer. One-time use only. Not for resale; void if sold or exchanged. If cost of movie ticket with Fandango’s convenience fee included is more than the maximum value of the Code, then user must pay the difference. Any price difference between movie ticket purchased and maximum value of the Code will not be refunded. ARV of each Code: $15 USD. The Total ARV of all First Prizes is a maximum of: $2,310.

The TOTAL ARV all Sweepstakes Prizes is a maximum of: $5,430.

PRIZE CONDITIONS: Prize winner must be 18 years of age or older. No substitution of prize is permitted except at Sponsor’s sole and absolute discretion. Grand Prize Winner is responsible for any and all federal, state and local taxes or assessments, as well as any forms as may be required by said taxing authorities (e.g., IRS Form W-9). Any person winning over $600.00 in prizes will receive an IRS Form 1099 Miscellaneous from Sponsor for the calendar year in which any prize is awarded.  Limit of one (1) Weekly Prize per household per week or twenty-two (22) total. All Weekly Prize Winners are eligible to win the Grand Prize.  All federal, state, local, or other tax liabilities, including but not limited to income taxes or like amounts in connection with a Winner’s award, acceptance, or use of the Prize arising from this Sweepstakes will be the sole responsibility of the Winner.

By accepting a Prize, where permitted by law, the Winner grants to the Released Parties and those acting pursuant to the authority of Sponsor (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time a Winner’s full name, portrait, picture, voice, likeness and/or biographical information, and posts and comments, for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification.

GENERAL CONDITIONS: By participating, entrants accept and agree to be bound by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects.  Entrant irrevocably grants Sponsor and its affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entry, including, but not limited to, the right to use entrant’s likeness, and/or statements regarding his/her participation in this Sweepstakes (with or without using the entrant’s name) in any and all media without limitation as to time or territory, and without additional compensation or approval from the entrant or any other party.  Entrant expressly waives any intellectual property rights, privacy/publicity rights or other legal or moral rights that might preclude the Sponsor’s use of the entry, and agrees not to sue or assert any claim against the Sponsor for the use of the Entry or entrant’s likeness or statements.

Entrant agrees to indemnify and hold Sponsor, all related parties and their respective affiliates, officers, directors, agents, co-branders or other partners, including any of their employees, and the Social Media Platforms (collectively, the “Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Indemnitees due to or arising out of the entrant’s Entry, or the entrant’s conduct in creating an Entry or otherwise in connection with this Sweepstakes, including but not limited to claims for trademark infringement, copyright infringement; violation of an individual’s right of publicity or right of privacy; or defamation.  Entrant further agrees to forever release and discharge Sponsor from any and all claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes entrant’s rights with regard to any elements, characters or ideas contained in any Entry. If for any reason the Sweepstakes cannot run as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole and absolute discretion, to cancel, terminate, modify and/or suspend the Sweepstakes and to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in a disruptive manner.  Any attempt by an entrant to deliberately damage any website involved in the Sweepstakes or to undermine the legitimate operation of the Sweepstakes may be in violation of criminal and/or civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages, including attorneys’ fees, from any such entrant to the fullest extent of the law, including criminal prosecution.  No responsibility is assumed by Sponsor for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of entries or any problems or technical malfunctions of any telephone network or lines, typographical or other errors, computer online systems, servers or providers, computer equipment, software, failure of any email or electronic entry to be received on account of technical problems or traffic congestion on the Internet or on any website or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to, or resulting from, participation in or downloading any materials from this Sweepstakes.  By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final in all respects.  Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes, or in the announcement of the prizes.  Sponsor reserves the right, at its sole and absolute discretion, to disqualify any individual it determines to be tampering with the entry mechanism, to be violating these Official Rules or to be acting in a disruptive manner.  Sweepstakes is subject to all applicable federal, state, and local laws and regulations.  

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, Entrants agree to release and hold harmless Sponsor, Instagram, and each of their respective parents, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives, advertising and promotional agencies (collectively, the “Released Parties”) from and against any claim, liability, or cause of action arising out of participation in the Sweepstakes or receipt, use, or misuse of any Prize, including, but not limited to: (a) any technical errors that may prevent an Entrant from submitting an Entry; (b) unauthorized human intervention in the Sweepstakes; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of Entries; or (e) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of any Prize. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to the Entrant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes.  Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.  In no event will Released Parties be responsible or liable for any damages or losses of any kind (including without limitation, direct, indirect, incidental, consequential, or punitive damages) arising out of participation in this Sweepstakes or the acceptance, possession, use, or misuse, or any harm resulting from the acceptance, possession, use, or misuse of a Prize.

USE OF DATA: All information submitted by Entrants will be treated according to Sponsor’s privacy policy, available at https://www.good2grow.com/privacy/. By entering the Sweepstakes, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

DISPUTE RESOLUTION; GOVERNING LAW; WAIVER OF TRIAL BY JURY: By entering the Sweepstakes, Entrants agree that (a) any action at law or in equity arising out of or relating to the Sweepstakes, these Official Rules, or the rights and obligations of any participant and/or Sponsor, shall only be filed in either the State or Federal courts in of the State of Georgia and you hereby consent and submit to the sole and exclusive personal jurisdiction of such courts for the purposes of litigating any such action (and expressly waive any right of change of venue, forum non conveniens or any like right), AND ANY RIGHT TO A TRIAL BY JURY AND A TRIAL BY JURY IS HEREBY WAIVED; (b) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys’ fees; and (d) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with the laws of Georgia without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than Georgia. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The value of the prizes set forth above represents Sponsor’s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed.
