SWEEPSTAKES PERIOD: The good2grow™ Download & Go Sweepstakes (the “Sweepstakes”) begins at 12:01 AM Eastern Time (“ET”) on March 12, 2020 and ends on March 21, 2020 at 11:59 PM ET (the “Sweepstakes Period”). By participating, participants agree to be bound by these Official Rules and the decisions of Good2Grow (the “Sponsor”), which are binding and final on matters relating to this Sweepstakes.
ELIGIBILITY: Sweepstakes is open only to legal residents of the 48 contiguous United States (“U.S”) and District of Columbia (“D.C”), who are eighteen (18) years of age at time of entry. Void where prohibited by law, and otherwise meet the eligibility requirements set forth herein. Employees of Sponsor and each of their respective parents, affiliates, subsidiaries and advertising and Licensing agencies and Licensing partners and their immediate family members (parent, spouse, sibling, child, and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to enter or win. Sweepstakes is subject to all applicable federal, state, and local laws and regulations.
HOW TO PARTICIPATE: The Sweepstakes may be entered by following and commenting on the specific Instagram post as indicated below during the Sweepstakes Period. The entry must fulfill all sweepstakes requirements, as specified herein, to be eligible to win a prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Sponsor. You may enter only once and earn one Entry via Instagram throughout the Sweepstakes Period. You may not enter more times than indicated by using multiple identities, social profiles or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of Sponsor.
TO ENTER: You must have an active Instagram account and your profile and posts must be set to “public” in order to enter. You must be following @good2growdrinks. To submit an entry (“Entry”), go to the official good2grow Instagram account, locate and comment on the applicable good2grow Download & Go Sweepstakes Post. Your comment must include the required hashtags #g2gapp and #SWEEPSTAKES. Your Instagram account must be public until a winner is selected so that Sponsor can contact you via your Instagram account if you are a potential winner.
ENTRY REQUIREMENTS AND RESTRICTIONS: Entries will not be acknowledged. Limit one Entry per person, Instagram account, and household during the Promotion Period. Multiple comments to the same Sweepstakes Post will not result in multiple Entries or chances to win a Prize in that Sweepstakes, and only the first entry will be considered. For the purposes of this Sweepstakes, a day is understood to begin at 12:00 AM ET and end on 11:59 PM ET. Sweepstakes entries received by any person or email address in excess of the stated daily limitation will be void. Entries generated by script, macro or other automated means and entries by any means which subvert the participation process will be void. All entries become property of the Sponsor and will not be returned. Any and all information provided in connection with this Sweepstakes is subject to Sponsor’s Privacy Policy available at http://www.good2grow.com/privacy-policy. In order to be eligible, Entries must actually be received by Sponsor during the Promotion Period. Entries received by Sponsor after the end of the Promotion Period are VOID. Your submission of an Entry constitutes your representation of eligibility, consent to participate in the Sweepstakes and consent for Sponsor to obtain, use, and transfer your name, address, photograph and other information for the purpose of Sweepstakes administration regarding the Sweepstakes and a Prize. This promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram Facebook, Power Pixel, Entertainment, Inc. PocketWatch, Inc., or any of their respective parent, subsidiary or affiliated companies.
By entering on Instagram, you agree that your Entry conforms to the submission requirements set forth below (the “Submission Requirements”) and that Sponsor, in its sole and absolute discretion, may disqualify you from the Sweepstakes and/or remove any Entry if it believes that an Entry fails to conform with the Submission Guidelines. By participating in the Sweepstakes and submitting an Entry, each Entrant hereby represents and warrants that any Entry he/she submits:
(a) is original to him/her;
(b) does not violate any law, rule, regulation, and/or guideline;
(c) does not infringe upon or invade any right of any third party, including without limitation intellectual property rights, privacy, or other proprietary right;
(d) is not defamatory, trade libelous, pornographic, or obscene, and does not contain, depict, include, discuss, or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar, or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious, or other groups; or any comment that is or could be considered inappropriate, unsuitable, or offensive; all as determined by Sponsor in its sole and absolute discretion;
(e) does not contain the image or personal information of any individual, including without limitation, name, telephone number, address (physical or electronic); and
(f) does not contain any commercial message, advertising link, and/or spam; comparison or solicitation for products and/or services other than products of Sponsor; or any identifiable third-party product, trademark, brand name, logo, and/or trade dress.
SWEEPSTAKES DRAWING & WINNER NOTIFICATION: The potential Sweepstakes Grand Prize and First Prize winners (“Winner”) will be selected in a random drawing held on or about March 21, 2020. Odds of winning the Grand Prize and First Prizes will depend on the number of eligible Sweepstakes entries received during the Sweepstakes Period.
The potential winners will be contacted via direct message to the Instagram account used to submit his/her Entry. If the potential winner does not respond within three (3) days after the first attempt to contact him/her, or the Prize notification is returned as undeliverable, that potential winner will be deemed to have forfeited the Prize. Winning the Prize is contingent upon fulfilling all requirements set forth herein.
Except where prohibited by law, each potential winner will be required to complete and return an affidavit of eligibility, a liability release, and/or a publicity release within seven (7) days of receipt prior to claiming the Prize. In the event of noncompliance with this requirement (if applicable) or if potential winner cannot be contacted for any reason, the Prize will be forfeited, an alternate winner may be selected from the remaining eligible entries received, and Sponsor shall have no liability or obligation to such person
SWEEPSTAKES GRAND PRIZE (1): There will be one (1) Grand Prize (“Grand Prize”) awarded. Grand Prize Winner (“Grand Prize Winner”) will receive one (1) 10.2-inch iPad Wi-Fi 32GB – $329, one (1) video shout-out from JillianTubeHD on her YouTube channel, one (1) good2grow t-shirt signed by JillianTubeHD – $15–, two (2) cases of PODZ (one of each flavor – Orange Mango and Raspberry Lemonade). ARV of one PODZ is $4.49 X 12 per case X 2 cases = ARV of $107.76
The Approximate Retail Value (“ARV”) of Grand Prize is $436.76.
SWEEPSTAKES FIRST PRIZE (4): There will be four (4) First Prizes (“First Prize”) awarded. Each First Prize Winner (“First Prize Winner”) will receive one (1) case of good2grow PODZ each (6 Raspberry Lemonade and 6 Orange Mango) and (1) good2grow t-shirt signed by JillianTubeHD. ARV of one PODZ is $4.49 X 12 per case = ARV of $53.88
The Approximate Retail Value (“ARV”) of each First Prize is $53.88. Total ARV of all First Prizes is $215.52.
SWEEPSTAKES PRIZE CONDITIONS: All elements of the Prize must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Approximate retail value is as of the time the rules were printed, and the value of the prize may fluctuate. A winner is not entitled to any difference between the ARV and the actual value of the Grand Prize at the time it is awarded All Sweepstakes prizes will be awarded provided a sufficient number of entries are received (as determined by Sponsor in its sole and absolute discretion) and the prizes are claimed in accordance with the dates and times specified above.
All federal, state, local, or other tax liabilities, including but not limited to income taxes or like amounts in connection with a Winner’s award, acceptance, or use of the Prize arising from this Sweepstakes will be the sole responsibility of the Winner.
By accepting a Prize, where permitted by law, the Winner grants to the Released Parties and those acting pursuant
to the authority of Sponsor (which grant will be confirmed in writing upon Sponsor’s request), the right to print,
publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time a Winner’s full name, portrait,
picture, voice, likeness and/or biographical information, and posts and comments, for advertising, trade and
promotional purposes without further payment or additional consideration, and without review, approval or
notification.
In no event will Released Parties be responsible or liable for any damages or losses of any kind (including
without limitation, direct, indirect, incidental, consequential, or punitive damages) arising out of participation in this Sweepstakes or the acceptance, possession, use, or misuse, or any harm resulting from the acceptance, possession, use, or misuse of a Prize.
Total ARV of all Prizing is $652.28
GENERAL CONDITIONS: By participating, participants accept and agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all matters. Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, garbled, stolen, misdirected or undelivered entries, emails or pincodes; or other errors or difficulties of any kind whether human, technical, electronic, mechanical, network, seeding, computer, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of prize redemptions, emails, pincodes, entries, the announcement of the winners or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer or other electronic device related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Website. Persons who tamper with or abuse any aspect of the Sweepstakes or who are in violation of these Official Rules, (as determined by Sponsor in its sole and absolute discretion), will be disqualified and all associated entries will be void. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes. If terminated, at its discretion, Sponsor reserves the right to select the potential winners from all eligible, non-suspect prize claims received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. If due to a computer programming, seeding, network or other error, more sweepstakes prizes are claimed than intended to be awarded according to these Official Rules, the stated number of sweepstakes prizes specified above in these Official Rules may be awarded in a random drawing from among all valid and non-suspect eligible prize claims received, at Sponsor’s sole discretion. In no event will the Released Parties be liable for more than the stated number of prizes in these Official Rules. CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY SUCH INDIVIDUAL AND SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
PRIZE DISCLAIMER: REWARDS ARE PROVIDED ON AN (“AS IS”) BASIS, WITHOUT FURTHER WARRANTY OF ANY KIND.
SPONSOR HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY INCLUDING BUT NOT
LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH
RESPECT TO THE PRIZE.
LIMITATION OF LIABILITY: BY PARTICIPATING IN THE PROMOTION, PARTICIPANTS, ON BEHALF OF THEMSELVES
AND THEIR HEIRS, EXECUTORS, ASSIGNS AND REPRESENTATIVES, RELEASE AND HOLD SPONSOR, ITS LICENSORS,
INSTAGRM, POWER PIXEL ENTERTAINMENT, INC., POCKETWATCH, INC., THEIR RESPECTIVE LICENSORS, AND ALL OF THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATED COMPANIES, UNITS AND DIVISIONS, AND THE CURRENT AND FORMER OFFICERS,DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, SUCCESSORS AND ASSIGNS OF EACH OF THE FOREGOING,
AND ALL THOSE ACTING UNDER THE AUTHORITY OF THE FOREGOING, OR ANY OF THEM (INCLUDING, BUT NOT
LIMITED TO, ADVERTISING AND PROMOTIONAL AGENCIES AND PRIZE SUPPLIERS) (EACH A “RELEASED PARTY”),
HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, INJURY, LOSS, DAMAGES, LIABILTIES AND
OBLIGATIONS OF ANY KIND WHATSOEVER (COLLECTIVELY, THE “CLAIMS”) WHETHER KNOWN OR UNKNOWN,
SUSPECTED OR UNSUSPECTED, WHICH PARTICIPANT EVER HAD, NOW HAVE, OR HEREAFTER CAN, SHALL OR
MAY HAVE, AGAINST THE RELEASED PARTIES (OR ANY OF THEM), INCLUDING, BUT NOT LIMITED TO, CLAIMS
ARISING FROM OR RELATED TO THE SWEEPSTAKES OR PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES
(INCLUDING, WITHOUT LIMITATION, CLAIMS RELATING TO THE RECEIPT, OWNERSHIP, USE, MISUSE, TRANSFER,
SALE OR OTHER DISPOSITION OF THE REWARD. All matters relating to the interpretation and application of
these Terms and Conditions shall be decided by Sponsor in its sole, absolute and binding discretion.
DISPUTE RESOLUTION; GOVERNING LAW; WAIVER OF TRIAL BY JURY: By entering the Sweepstakes, Entrants agree that (a) any action at law or in equity arising out of or relating to the Sweepstakes, these Official Rules, or the rights and obligations of any participant and/or Sponsor, shall only be filed in either the State or Federal courts in of the State of Georgia and you hereby consent and submit to the sole and exclusive personal jurisdiction of such courts for the purposes of litigating any such action (and expressly waive any right of change of venue, forum non conveniens or any like right), AND ANY RIGHT TO A TRIAL BY JURY AND A TRIAL BY JURY IS HEREBY WAIVED; (b) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys’ fees; and (d) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with the laws of Georgia without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than Georgia. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The value of the prizes set forth above represents Sponsor’s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed.
